Vendor Terms & Conditions

1. Introduction

Welcome to TicketStockMarket.com (the "Platform"). These Vendor Terms & Conditions ("Terms") govern your relationship with us as a Vendor (also referred to as "you" or "your") selling tickets for events, experiences, and venues through our Platform. By registering as a Vendor and using our services, you agree to be bound by these Terms.

These Terms are in addition to our general Terms of Service and Privacy Policy. In the event of any conflict, these Vendor Terms shall prevail with respect to your vendor activities.

2. Vendor Eligibility

To register as a Vendor on the Platform, you must:

  • Be a legally registered business entity or an individual authorized to sell tickets
  • Provide accurate, complete, and up-to-date information during registration
  • Have the legal authority to sell tickets for the events you list
  • Comply with all applicable laws and regulations in your jurisdiction
  • Not be listed on any government sanctions or restricted parties list

We reserve the right to verify your identity and business credentials at any time.

3. Vendor Profile & Account

As a Vendor, you are responsible for:

  • Maintaining accurate and up-to-date profile information
  • Adding and managing venues, events, and ticket inventory
  • Ensuring all event details (date, time, venue, pricing) are accurate
  • Responding to customer inquiries promptly
  • Keeping your account credentials secure and confidential
  • Immediately notifying us of any unauthorized access to your account

4. Ticket Sales & Pricing

You agree that:

  • All ticket prices are set by you and can be adjusted, subject to Platform approval
  • You are responsible for the accuracy of all ticket listings
  • You must honor all tickets sold through the Platform
  • You may not list tickets for events you do not have authorization to sell
  • You must comply with all applicable pricing and consumer protection laws

5. Commission & Fees

As a Vendor, you agree to the following fee structure:

  • Platform Commission: We charge a commission on every ticket sold through the Platform. The commission rate is set during registration and may be subject to change with prior notice.
  • Taxes: Applicable taxes (VAT, GST, sales tax, etc.) based on the customer's location and applicable laws will be added to the ticket price and collected by us on your behalf.
  • Payment Processing Fees: Payment gateway fees are deducted from the total transaction amount before settlement.
  • Other Fees: Additional fees may apply for premium features, promotional listings, or other value-added services.

All fees are transparently displayed in your Vendor Dashboard. We reserve the right to modify fees with 30 days' prior notice.

6. Payouts

We process payouts to Vendors as follows:

  • Payout Period: Payouts are processed after the event has concluded. This ensures that all ticket sales are finalized and no disputes or chargebacks are pending.
  • Payout Amount: The payout amount equals the total ticket sales revenue minus:
    • Platform commission
    • Applicable taxes
    • Payment processing fees
    • Any chargebacks or refunds
    • Any other applicable fees
  • Payout Schedule: Payouts are typically processed within 3-7 business days after the event ends or the payout period starts.
  • Payout Method: Payouts are made via your selected payment method (bank transfer, PayPal, etc.) as specified in your Vendor profile.
  • Minimum Payout: A minimum payout threshold may apply. If your balance is below the minimum, it will be carried forward to the next payout cycle.

7. Refunds & Cancellations

The following policies apply to refunds and cancellations:

  • Customer Refund Requests: All refund requests must be initiated by the customer through the Platform. Refund policies are determined by you as the Vendor and must be clearly communicated to customers before purchase.
  • Vendor-Initiated Refunds: Vendors may initiate refunds for cancellations, event changes, or at their discretion, subject to Platform approval.
  • Refund Processing: Refunds are processed by our Admin team. You must submit refund requests through your Vendor Dashboard. Approved refunds will be deducted from your future payouts.
  • Non-Refundable Fees: Platform commissions and processing fees may not be refundable unless the refund is due to Platform error.
  • Event Cancellation: If you cancel an event, you must notify us immediately and issue full refunds to all ticket holders.

Important: You are responsible for setting and communicating your refund policy to customers. Failure to honor your stated refund policy may result in penalties or account suspension.

8. Chargebacks

Chargebacks occur when a customer disputes a transaction with their bank or credit card company. The following rules apply:

  • Responsibility: Vendors are responsible for chargebacks arising from tickets sold through the Platform.
  • Deduction: The full amount of any chargeback, including fees imposed by the payment processor, will be deducted from your future payouts.
  • Dispute Resolution: We will attempt to dispute chargebacks on your behalf, providing evidence of valid ticket delivery. However, we do not guarantee chargeback reversals.
  • Excessive Chargebacks: Vendors with excessive chargebacks may have their accounts suspended or terminated at our discretion.

Warning: Chargebacks are costly and can lead to account penalties. Please ensure you have clear communication with customers and fulfill all obligations to minimize chargeback risks.

9. Taxes & Compliance

As a Vendor, you acknowledge and agree that:

  • We collect and remit applicable taxes (VAT, GST, sales tax) based on the customer's location as required by law.
  • You are responsible for reporting and remitting any additional taxes owed on your earnings to the appropriate tax authorities.
  • You are responsible for obtaining and maintaining all necessary licenses, permits, and authorizations for your business activities.
  • You must comply with all applicable laws, including but not limited to consumer protection, data privacy, and anti-money laundering regulations.
  • You agree to provide us with any tax-related documentation we reasonably request (e.g., W-9, VAT registration, tax identification number).

10. Prohibited Activities

As a Vendor, you must not:

  • List fake, fraudulent, or non-existent events
  • Misrepresent event details, pricing, or availability
  • Engage in price gouging or unfair pricing practices
  • Use the Platform to launder money or engage in any illegal activity
  • Harass, threaten, or defraud customers
  • Share your Vendor account credentials with unauthorized persons
  • Manipulate ticket availability or create artificial scarcity
  • Engage in any activity that damages the reputation of the Platform

11. Intellectual Property

You grant us a non-exclusive, worldwide, royalty-free license to use your event names, descriptions, logos, and images for the purpose of promoting and selling tickets on the Platform. You warrant that you have all necessary rights to grant this license and that your content does not infringe on any third-party rights.

12. Privacy & Data Protection

We take data privacy seriously. As a Vendor:

  • You may only use customer data provided through the Platform for the purpose of fulfilling ticket sales and providing event-related communications.
  • You must not use customer data for marketing or promotional purposes without explicit customer consent.
  • You must comply with all applicable data protection laws, including GDPR, CCPA, and similar regulations.
  • You must implement appropriate security measures to protect customer data.
  • You must promptly notify us of any data breach or security incident involving customer data.

13. Termination & Suspension

We reserve the right to suspend or terminate your Vendor account at any time for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Excessive customer complaints or chargebacks
  • Non-compliance with applicable laws
  • Any other conduct we deem harmful to the Platform or its users

Upon termination, you will receive any outstanding payouts (subject to pending refunds and chargebacks), but will lose access to your Vendor Dashboard and the ability to list new events.

14. Limitation of Liability

The Platform is provided "as is" and we make no warranties regarding its availability, reliability, or performance. We are not liable for any direct, indirect, incidental, or consequential damages arising from your use of the Platform, including but not limited to lost revenue, lost profits, or data loss.

Our total liability to you shall not exceed the total commissions we have earned from your ticket sales in the 12 months preceding the claim.

15. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, your events, your ticket sales, any violation of these Terms, or any infringement of third-party rights.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which TicketStockMarket.com operates, without regard to its conflict of law provisions.

17. Changes to Terms

We reserve the right to update or modify these Terms at any time. We will provide at least 30 days' notice for material changes. Your continued use of the Platform after the changes become effective constitutes your acceptance of the revised Terms.

  • You are authorized to enter into this agreement on behalf of your business
  • You will comply with all applicable laws and regulations
  • You understand that commissions, taxes, and fees apply to all ticket sales
  • You accept the payout schedule and refund/chargeback policies
